During this interactive course delegates will learn to build a comprehensive, three-statement merger model.

All of the key assumptions required and outputs of such an analysis will be explored, with an emphasis on the impact on the financials of the buyer in a strategic acquisition.

Course Overview

What to Expect

Participants will be taught how to consider the most important impacts of the M&A transaction from the acquirer’s shareholders’ point of view, building a combination model, and performing multiple analyses such as accretion / (dilution), synergies vs premium, credit. Participants learn a consistent framework to analyse potential M&A transactions.

Key sessions during the course:

  • Learn how to structure an M&A model in the most efficient way
  • Set up all the assumptions and drivers required to build out the M&A model
  • Calculate all the necessary adjusting entries required to create a post-transaction balance sheet
  • Integrate the acquirer and the target into a pro forma model
  • Calculate the accretion or dilution of key per share metrics post-transaction
  • Perform sensitivity analysis on key assumptions and assess the overall impact of the transaction
