contract or purchase(s): Stoke on Trent City
Council (the council) is seeking to appoint a financial advisor to support
the development and procurement of a Public Provate Partnership (PPP) as part
of 6th Round of the Housing Private Finance Initiative (PFI). This is
targeted at estate renewal and transformation. An invitation has been
received from the Homes and Community Agency to proceed to the next stage and
develop an Outline Business Case (OBC) based on our Expression of Interest.
This identified development sites located across six of the City Council's priority
estates. The project is now to be
progressed to Outline Business Case (submission currently no later than July
2010) and subsequently to the procurement period and mobilisation of the
investment programme delivery up to the start of operational services,
expected to be mid 2013. We require a financial
advisor to provide advice through the above stages and become a member of the
operational team reporting to the Project Manager. Further information and

accepted: No. II.2) QUANTITY OR SCOPE OF THE
CONTRACT II.2.1) Total quantity or scope: The financial adviser
will lead on the provision of financial and commercial advice and analysis to
the Council in connection with the HRA housing PFI project. The financial adviser
will be required to review and verify the financial work done in the
formulation of the Revised Proposal which will have been substantially
completed by others. The financial adviser will be required to review the
Revised Proposal before submission to HCA. The services will be
delivered by the financial adviser in accordance with the specific
requirements defined as part of the Invitation To Tender; the scope of each
stage (from appointment to submission of OBC and subsequently procurement
commencement to financial close) shall include, but not be limited to, the
following: a) Administration,
management and supervision of all aspects of this advisory appointment b) To act as a member of
the Project Team. c) Provision of advice
to the Council on: i) Commercial PPP/PFI
contract advice ii) Financial modelling,
iii) Value for money
assessment iv) Options appraisal v) Risk assessment vi) Taxation
considerations vii) Balance sheet
treatment The financial adviser
will work collaboratively to co-ordinate with the Council's officers and
other project external advisers to ensure that all financial information is
timely, effective and complete. It is the role of the adviser to keep the
Council fully briefed about all financial aspects of the project, including
taxation. The financial adviser will be part of the Project team and will
attend team meetings as required. The contract is expected
to run for a minimum of three years to financial close, with an option to
extend into the initial operational phase. Estimated value

misrepresentation in supplying the information required under this Section or
has not supplied such information; (h) has been the subject
of a conviction for participation in a criminal organisation, as defined in
Article 2(1) of Council Joint Action 98/733/JHA; (i) has been the subject
of a conviction for corruption, as defined in Article 3 of the Council Act of
26.5.1972 and Article 3(1) of Council Joint Action 98/742/JHA3 respectively; (j) has been the subject
of a conviction for fraud within the meaning of Article 1 of the Convention
relating to the protection of the financial interests of the European
Communities; (k) has been the subject
of a conviction for money laundering, as defined in Article 1 of Council
Directive 91/308/EEC of 10.6.1991 on prevention of the use of the financial
system for the purpose of money laundering. III.2.2) Economic and financial
capacity: Information and
formalities necessary for evaluating if requirements are met: (a) appropriate
statements from banks or, where appropriate, evidence of relevant
professional risk indemnity insurance; (b) the presentation of
balance-sheets or extracts from the balance-sheets, where publication of the
balance-sheet is required under the law of the country in which the economic
operator is established; (c) a statement of the
undertaking's overall turnover and, where appropriate, of turnover in the
area covered by the contract for a maximum of the last three financial years
available, depending on the date on which the undertaking was set up or the
economic operator started trading, as far as the information on these
