Short description of the contract or purchase(s):

Coventry City Council together with Solihull Metropolitan Borough Council and Warwickshire County Council (the "Partners") are seeking (subject to value for money and affordability considerations) a contractor (or consortium of contractors) to enter into a long-term PFI/PPP contract for the provision of a solution for the treatment and disposal of residual waste. This may include (but is not limited to) the design, build, operation and/or financing of a waste treatment facility (or facilities). However, the Partners reserve the right to adopt a contract structure that best meets their respective needs. The Partners have identified a site within the ownership of the Partners which is considered suitable for the solution and can be considered by Applicants when putting forward their solution, although Applicants will be free to put forward other sites for the project. The Partners' site is located off the London Road (Coventry) adjacent to the existing energy from waste facility.

The Partners do not intend to specify a particular technology for the solution and will, therefore, consider any technology solution that meets the Partner's requirements which will be assessed in accordance with the evaluation criteria/methodology for the project. The potential for the solution to cater for commercial and industrial waste as well as waste from other public sector organisations may be explored during the Competitive Dialogue Procedure.

QUANTITY OR SCOPE OF THE CONTRACT

II.2.1)

Total quantity or scope:

The Partners are seeking (subject to value for money and affordability considerations) a contractor (or consortium of contractors) to enter into a long-term PFI/PPP contract for the provision of a solution for the treatment and disposal of residual waste which may include (but is not limited to) the design, build, operation and/or financing of a waste treatment facility (or facilities) (the "Contract"). However, the Partners reserve the right to adopt a contract structure that best meets their respective needs. The project is anticipated to include the handling of all treatment outputs, rejects and residues from the solution including (but not limited to) the marketing and sale of recyclable materials, compostable materials, other materials recovered, transfer, loading and onward transport to final destinations including the provision of landfill for residues to the extent necessary.

The Partners reserve the right to explore with the participants during the procurement process the potential for marketing any energy (heat and/or power and/or electricity) produced by the solution to neighboring users and/or to the Partnership and/or to the National Grid and/or to other users. The procurement is not intended to include any of the collection or delivery functions to the solution. However, as a matter of flexibility, the Partners may wish to include some ancillary waste management services such as (but not limited to) transfer stations and bulking and haulage operations. The Outline Business Case ("OBC") for the project estimates that, by way of guidance only, the solution might deal with approximately 305 000 tonnes of residual waste per annum by the year 2040 (please refer to the Partners' OBC for more details - refer to link in section V.I.3).

This tonnage is not guaranteed or warranted by the Partners nor is it an indication of future trends. Applicants will be invited to take their own view of the likely tonnages and waste growth and the capacity of the solution will be discussed during the Competitive Dialogue Procedure. The expectation is that financing for the project will be predominantly, if not wholly, procured from private finance however the Partners reserve the right to provide or procure capital contributions and/or finance for the project from other sources including (but not limited to) prudential borrowing and/or the European Investment Bank and/or the Treasury Infrastructure Financing Unit. Whilst the Partners anticipate the Contract will be for a period of approximately 25 years with an option to extend the service period for up to five further years, the actual contract period will be determined by best value considerations during the Competitive Dialogue Procedure having regard to financial market conditions.

For the avoidance of doubt, a 25 plus 5 years duration is indicative only and is not intended to specify the maximum or minimum length of the Contract. The Partners estimate that the value of the contract will be in the region of 1 055 000 000 GBP. This is provided by way of estimate only and depends upon the solution put forward. The Partners reserve the right to invite variant solutions and further details are set out in the Information Memorandum.

Description of these options: The Partners may discuss with Applicants during the Competitive Dialogue Procedure the possibility of being granted option(s) to extend the Contract for a period of about five (5) years (subject to the caveats outlined in section II.2.1). The time duration in section II.3 includes any possible extension but is subject to the caveats on duration in section II.2.1.

III.1)

CONDITIONS RELATING TO THE CONTRACT

III.1.1)

The Partners reserve the right to require guarantees, parent company guarantees (in a form acceptable to the Partners), direct agreements, deposits, bonds or other forms of appropriate security. Further details will be set out in the project documentation.

Main financing conditions and payment arrangements and/or reference to the relevant provisions regulating them:

Payment and the payment terms and conditions will be set out in the Project Agreement and the Payment Mechanism. The Project Agreement and the Payment Mechanism will be based on the WIDP/Defra Model Form (as set out in the WIDP Residual Waste Procurement Pack). The payment terms and conditions will be discussed with Applicants during the Competitive Dialogue Procedure and further information will be provided in the project documents.

Legal form to be taken by the group of economic operators to whom the contract is to be awarded:

Requests to participate will be accepted from companies groupings of economic operators (consortia). In the event of a successful consortium bid, the Partners may specify that the consortium takes a particular legal form and/or require that a single consortium member takes primary liability or that each member undertakes joint and several liability irrespective of the legal form adopted, where a subsidiary company is used, the ultimate parent company may be required to provide a guarantee in respect of the performance of the Contract. Full details of the proposed contracting structures must be provided at the Pre- Qualification stage.

This project is being procured under the Private Finance Initiative. Please note that all dates, time periods and figures in relation to values and volumes specified in this notice are approximate only and the Partners reserve the right to change any or all of them. Coventry City Council and Solihull Metropolitan Borough Council are currently disposing of their residual waste at an existing energy from waste facility ("EfW Facility") located in Coventry. The EfW facility is operated by the Coventry and Solihull Waste Disposal Company ("LAWDC"). This contract will cease at an appropriate point in time to be determined during the Competitive Dialogue Procedure. Statutory provisions may apply to the employees of the LAWDC as a result of the award of this Contract and the implications will be considered during the Competitive Dialogue Procedure. The Pre-Qualification Questionnaire ("PQQ") and project documentation are ONLY available via a secure extranet portal. The E-Box portal will be used throughout the procurement process for all documents relating to this project. During the pre-qualification process there is no charge to Applicants for the use of the E-Box portal.

For access to the secure E-Box portal Applicants should register an interest by sending an email to projecttransformoffice@warwickshire.gov.uk (the email address in Annex I). Please indicate in the email the name(s), address(es), contact telephone number(s) and email address(es) of the bidder's lead officer(s). In response, the bidder will receive an email from E-Box with instructions on enrolment and access to the secure portal. This will enable the bidder to download all relevant project documentation. For further details regarding the E-Box portal, please refer to Part 1 - Section 7 of the PQQ. All Applicants are invited to attend a bidders' conference to take place on the 19.10.2009 in Warwickshire. Applicants are advised that the Partners are subject to the Freedom of Information Act 2000 (the Act). If a bidder considers that any of the information supplied as part of this procurement procedure should not be disclosed because of its commercial sensitivity, confidentiality or otherwise, they must, when providing this information, clearly identify the specific information they do not wish to be disclosed and clearly specify the reasons for its sensitivity. The Partners shall take such statements into consideration in the event that it receives a request pursuant to the Act which relates to the information provided by the interested party. However, if the information is requested the Partners may be forced to disclose such documentation, irrespective of a bidder's wishes. Please note, it is not sufficient to include a statement of confidentiality encompassing all the information provided in the response.

The Partners shall not be responsible for any costs, charges or expenses incurred by Applicants and accepts no liability for any costs, charges or expenses, irrespective of the outcome of the competition, or if the competition is cancelled or postponed. The Partners reserve the right to not award any or part of this contract.
