II.1.6) Description/object of the contract: The design, installation, commissioning and operation of a landfill gas to energy system at Gortadroma Landfill, County Limerick, on a public private partnership (PPP) basis. The provision of this service will include:
supply, operation and maintenance of all equipment necessary to provide the service;
operation, maintenance and extension of the existing landfill gas collection network to optimise gas collection and energy recovery;
production and export of electricity to the national grid;
liaison with the national grid distribution system operator and
flaring of excess and by-pass gas to atmosphere.

II.2.1) Total quantity or scope: It is currently envisaged that the contract may be structured as some form of PPP and may involve elements of private finance. It is estimated that the initial service contract will run for 5 – 10 years.

SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) Conditions relating to the contract
III.1.1) Deposits and guarantees required: Appropriate security will be required and this will be subject to negotiation prior to the execution of the contract.
The form of security that will be required may be in a form, such as a performance bond, a parent body guarantee, a warranty, etc.
III.1.2) Main terms of financing and payment and/or reference to the relevant provisions: It is intended that this PPP project will be a joint venture between the Contracting Authority (Limerick County Council) and the successful tenderer.
The Contracting Authority will make available a secure site for the Landfill Gas (LfG) facility, on a joint venture basis, to the successful tenderer. The successful tenderer will be required to finance the design and installation of the LfG facility and to operate and maintain the LfG facility for the duration of the contract term.
It is envisaged that the successful tenderer will be remunerated by means of a regular service payment for the operation of the facility. These payments will cover all of the successful tenderer’s costs including initial financing of the project and the ongoing operation costs. It is envisaged that the final payment mechanism will include a performance based element relating to the overall availability and power output from the facility in MW of electricity.
Variant bids utilising an alternative payment structure will be considered but only when they accompany a standard bid as defined in the tender documentation for the project (see also section VI.4 additional information).
III.1.3) Legal form to be taken by the grouping of suppliers, contractors or service providers to whom the contract is awarded: A single company or group of companies may submit pre-qualification documents for the Project. Should the contract be awarded to a group of companies (the Group), the lead member of the applicant must be the operator and a single contract will be awarded to the operator.
III.2) Conditions for participation
III.2.1) Information concerning the personal situation of the contractor, supplier or service provider and information and formalities necessary for the evaluation of the minimum economic, financial and technical capacity required: A pre-qualification in the form of a Request to Participate Document has been prepared by the Contracting Authority and is available from the address given in I.1. Applicants who have not fully completed and submitted this Request to Participate Document on or before the date given in the Request to Participate
Document may be eliminated from consideration. Where the applicant is a group, each member of the group must supply the information as required in the Request to Participate Document. The information will be used for the purposes of making an objective ranking of the Applicants based on Article 32 of Council Directive 92/50/EC. With the highest ranking applicants (of number specified in IV.1.4) being invited to submit a tender.
The evaluation criteria to assess an applicant’s suitability can be found in the Request to Participate Document.
III.2.1.1) Legal position – means of proof required: The following is a summary of the minimum information required of the applicant:
1. documentation confirming that the applicant (or every member of the group that will form the Applicant and every important sub-consultant) are legal entities properly registered and in good standing in their home jurisdictions;
2. written certification by an authorised officer of each applicant’s company (including every member of the group that will form the applicant and every key sub-consultant) that none of the conditions, (a), (b), (c), (e) and (f), set out in Article 29 of Directive 92/50/EC apply to their company. The Contracting Authority has the right to implement item (d) of Article 29;
3. in the case of applications from groups of individual companies, a statement of willingness and intent of each and every member of the group to provide appropriate collateral warranties or parent body guarantees prior to award of this contract.
Further information relating to Legal Position will be requested of the applicant in the Request to Participate document.
III.2.1.2) Economic and financial capacity – means of proof required: The following is a summary of the minimum information required of the applicant:
applicant’s financial statements (or all of the members of the group that will form the applicant) from the last 3 financial years, together with supporting information showing the applicant’s financial capabilities to perform the duties required under this contract. This shall demonstrate:
1. average (over the last 3 financial years) annual turnover of at least 10 000 000 GBP annually (for applicant or composite turnover of group members);
2. reference letters from applicant or group members bankers.
Further information relating to economic and financial capacity will be requested of the applicant in the Request to Participate document.
III.2.1.3) Technical capacity – means of proof required: Evidence of relevant reference projects, successfully carried out by the applicant or a member of the group within the last 5 years.
The minimum requirement is that the applicant shall have:
been in responsible charge of, and satisfactorily completed the installation for at least 1 landfill gas fuelled energy facility with or without associated waste management infrastructure, with an output of 1MWe or greater;
been in responsible charge of, and satisfactorily performed the overall operation and maintenance of at least 1 landfill gas fuelled energy facility including supporting gas collection wells and network with or without associated waste management infrastructure, with a capacity of at least an output of 1MWe or greater, for a minimum period of 2 years;
been in responsible charge of, and satisfactorily completed financing of a similar type and size project.
Form of evidence to include:
description of project including size, value and location of works, name of contracting entity, role of applicant or group member, status of completion of the project;
names, addresses, contact information of the relevant reference persons from the contracting entity.

Subject to the number and suitability of applicants, it is envisaged that up to 4 suppliers will be invited to tender on the basis of the information requested in the Request to Participate Document.
The contract will not be divided into lots.
It is envisaged that the contract for the sale of electricity i.e. the power purchase agreement with an electricity supply company, will be held by the Contracting Authority.
Tenderers must submit a standard bid but may submit variant bids. The Contracting Authority will discuss variant bids with potential service providers provided that these can be shown to offer clear advantages for the project.
The Contracting Authority reserves the right without advance notice (and without giving reasons unless so required by law and without liability to the applicants) to amend or otherwise change the process or to terminate the process. This notice does not represent a commitment to enter into any contract.
Where a Group of companies submits a Request to Participate, a lead member of the group must be nominated who shall be fully responsible for the project. The lead member must be the proposed operator of the Project. It is expected that this contract will be awarded to a single legal entity and appropriate parent body guarantees or other guarantees of security may be required for the full contract term.
In the case of a company resident in the Republic of Ireland it shall be a precondition of an award of contract that the candidature shall, within a stated period, produce a current tax clearance certificate. Non resident tenderers will require a statement (in lieu of a tax clearance certificate) from the Revenue Commissioners of the Republic of Ireland that they are satisified as to the suitability for tax purposes of the candidate to be awarded the contract.
Applicants are asked to consider if any of the information supplied by them in response to this notice should not be disclosed pursuant to the Freedom of Information Act, 1997 because of its sensitivity. If this is the case, applicants should, when providing the information, clearly identify the specific information and the reasons for its sensitivity should be clearly explained.
